Terms of Service

1. Agreement to Terms

By accessing or using the AI Business Engine platform ("Service"), operated by AI Business Engine ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, including visitors, registered users, and paying customers. The Service is intended for individuals aged 18 or older. By using the Service, you represent that you are at least 18 years old.

2. Description of Service

AI Business Engine is a platform that uses artificial intelligence to assist users in designing, building, launching, and operating software businesses. The Service includes:

• An AI-powered intake and ideation assistant
• Automated business plan generation via AI agent teams
• Code generation, deployment, and hosting assistance
• Ongoing AI-driven business operations (marketing, analytics, support automation)
• A user dashboard for monitoring and controlling AI operations

The Service is provided "as is" and is continuously evolving. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at support@aibce.io of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Fees and Payment

4.1 Launch Fee

The Service requires a one-time launch fee of USD $49 per business project. This fee covers the initial AI-powered business build, deployment, and setup. The launch fee is charged at the time of purchase and is non-refundable except as described in our Refund Policy.

4.2 Revenue Share

In addition to the launch fee, you agree to pay the Company a revenue share equal to:

• 12% of monthly gross revenue generated by your business, for months where gross revenue is below USD $1,000
• 10% of monthly gross revenue generated by your business, for months where gross revenue equals or exceeds USD $1,000

"Gross revenue" means all revenue received by your business before deductions, as reported through your connected Stripe account. Revenue share is calculated and collected monthly via Stripe Connect. You authorize the Company to deduct the applicable revenue share automatically from your Stripe payouts.

4.3 Taxes

You are responsible for all applicable taxes on your revenue. The Company's revenue share is calculated on gross revenue before any tax deductions.

5. Intellectual Property

5.1 Your Content and Code

All code, content, business plans, and materials generated by the AI agents for your specific business project ("Your Output") are owned by you. You receive a perpetual, irrevocable, worldwide license to use, modify, distribute, and commercialize Your Output. You may export your code to your GitHub repository at any time and self-host or operate your business independently of the Service.

5.2 Platform Intellectual Property

The Service itself, including the AI agent architecture, platform software, user interface, and underlying technology, remains the exclusive property of the Company. Nothing in these Terms grants you any rights to the Company's intellectual property beyond the right to use the Service as described herein.

5.3 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant the Company a non-exclusive, royalty-free, perpetual license to use such feedback for any purpose without compensation to you.

6. Acceptable Use

You agree not to use the Service to:

• Build businesses that engage in illegal activities, fraud, or deception
• Generate spam, phishing content, or unsolicited commercial communications
• Create fake reviews, testimonials, or misleading marketing materials
• Infringe the intellectual property rights of third parties
• Process, store, or transmit personal data of third parties without appropriate legal basis
• Attempt to reverse-engineer, copy, or replicate the Company's AI agent architecture
• Use the Service in a way that violates the terms of any AI model provider (OpenAI, Anthropic, Google, DeepSeek)
• Engage in any activity that could damage, disable, or impair the Service

Violation of this Acceptable Use Policy may result in immediate account suspension without refund.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate business plans, code, marketing content, and operational decisions. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or omissions
• The Company does not guarantee that AI-generated businesses will be profitable or successful
• You are responsible for reviewing, validating, and taking responsibility for all AI-generated outputs before publishing or using them commercially
• The Company is not liable for any business decisions made based on AI-generated advice or content
• AI models used by the Service (including GPT-4, Claude, Gemini) have their own usage policies which you agree to comply with indirectly through your use of the Service

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, arising from or related to your use of the Service.

The Company's total cumulative liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any business you operate using the Service.

10. Termination

You may terminate your account at any time by contacting us at support@aibce.io. Upon termination, your right to use the Service ceases immediately. You retain ownership of Your Output and may continue to operate your business independently.

The Company may terminate or suspend your account immediately, without prior notice, if you breach these Terms or if we determine, in our sole discretion, that your use of the Service poses a risk to other users or to the Company.

Revenue share obligations that accrued prior to termination remain payable. The Company will continue to collect revenue share on revenue generated by your business for a period of 30 days following termination to allow for final settlement.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the European Union and, where applicable, the laws of the jurisdiction of the Company's incorporation. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration.

If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to your registered address. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
